1. Acceptance of Terms

By accessing and using SyncedStorage ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. These Terms of Service ("Terms") govern your use of our file upload service operated by SyncedStorage, Inc. ("we," "us," or "our").

2. Description of Service

SyncedStorage is a web-based service that allows users to upload files directly to their connected cloud storage accounts. Our service currently supports:

• Google Drive integration with full upload functionality
• Secure file transfer without storing your files on our servers
• Upload history and metadata tracking
• Multiple subscription tiers with varying usage limits

Additional cloud storage providers (Dropbox, OneDrive, etc.) are planned for future release.

3. User Accounts and Registration

3.1 Account Creation

To use our Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the security of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your contact information remains current

3.2 Eligibility

You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you have the legal capacity to enter into this agreement.

4. Subscription Plans and Billing

4.1 Plan Types

We offer multiple subscription plans:

• Free Plan: $0/month - Up to 10 uploads, 25 MB max file size
• Plus Plan: $4.99/month - Up to 500 uploads, 1 GB max file size
• Pro Plan: $9.99/month - Unlimited uploads, 5 GB max file size

4.2 Payment Terms

For paid subscriptions:

• Billing occurs monthly in advance
• All fees are non-refundable unless required by law
• You authorize automatic recurring payments
• Price changes will be communicated 30 days in advance
• Failed payments may result in service suspension

4.3 Plan Changes and Cancellation

You may upgrade, downgrade, or cancel your subscription at any time. Changes take effect at the next billing cycle. Upon cancellation, you retain access to paid features until the end of your current billing period.

5. Acceptable Use Policy

5.1 Permitted Use

You may use our Service for lawful purposes only. This includes uploading files that you own or have permission to distribute.

5.2 Prohibited Activities

You agree not to use the Service to:

• Upload illegal, harmful, or copyrighted content without permission
• Transmit malware, viruses, or other malicious code
• Attempt to breach security or access unauthorized areas
• Abuse or overload our systems beyond reasonable limits
• Impersonate others or provide false information
• Share your account credentials with unauthorized users
• Use the Service for spam or unsolicited communications

6. Cloud Storage Integration

6.1 Third-Party Services

Our Service integrates with third-party cloud storage providers (currently Google Drive). You acknowledge that your use of these providers is subject to their respective terms of service and privacy policies. We are not responsible for the practices or policies of these third-party services.

6.2 File Storage and Responsibility

We do not store your uploaded files. Files are transferred directly to your connected cloud storage accounts. You remain solely responsible for backing up your files and maintaining access to your cloud storage accounts.

7. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Service, you consent to the practices described in our Privacy Policy.

8. Intellectual Property Rights

8.1 Our Rights

The Service, including all software, designs, text, graphics, and other content, is owned by SyncedStorage and protected by intellectual property laws. You may not copy, modify, or distribute our content without permission.

8.2 Your Content

You retain ownership of files you upload through our Service. By using the Service, you grant us a limited license to process and transfer your files to your designated cloud storage accounts.

9. Service Availability and Support

9.1 Service Availability

While we strive to maintain high availability, we do not guarantee uninterrupted access to our Service. We may perform maintenance or experience outages that temporarily affect service availability.

9.2 Customer Support

Support levels vary by subscription plan:

• Free Plan: Standard support via email
• Plus Plan: Priority email support
• Pro Plan: Dedicated priority support

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNCEDSTORAGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.

11. Indemnification

You agree to indemnify and hold harmless SyncedStorage from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us or using account settings. Upon termination, your access to paid features will continue until the end of your current billing period.

12.2 Termination by Us

We may suspend or terminate your account if you violate these Terms, engage in prohibited activities, or fail to pay subscription fees. We will provide reasonable notice except in cases of severe violations.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or prominent notice on our website at least 30 days before taking effect. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect.
